ARCTOS STUDIO: TERMS OF USE & LICENSE AGREEMENT

1. NATURE OF THE SOFTWARE

1.1 Indie Development: Arctos Studio (the “Software”) is an indie-developed product, not the output of a large corporation. While every effort is made to ensure stability, users should expect the iterative nature of independent software development. 1.2 “As-Is” Provision: The Software is provided “as-is” and “as-available.” We do not guarantee that the software will be bug-free or compatible with every hardware configuration. 1.3 Trial Before Purchase: To ensure compatibility with your specific hardware and operating system, users are strictly required to download and test the Free Version of Arctos Studio before purchasing a Pro or Lifetime license. We are not responsible, and do not offer refunds, if the paid version is purchased but found to be incompatible with a machine that was not previously tested by the user.


2. ROBOTICS & HARDWARE SAFETY DISCLAIMER

2.1 Simulation vs. Reality: The Software is a simulation environment. Discrepancies between the digital twin and physical hardware can occur due to physics engine limitations, latency, or user configuration errors. 2.2 Post-Processor Limitation: Post-processors included in this software (for UR, KUKA, Fanuc, ABB, etc.) are provided for convenience and have not been tested on physical hardware other than the Arctos robotic arm. 2.3 Mandatory Verification: You are solely responsible for verifying all generated G-code or robot-specific scripts. Never run generated code on a physical robot without a dry run, low-speed testing, and a human operator present at the Emergency Stop (E-Stop). 2.4 Liability for Damage: Arctos Robotics and its developer(s) are not liable for any damage to robot hardware, surrounding equipment, or personal injury/death resulting from the use of code generated by this software.


3. SUBSCRIPTIONS & LICENSING

3.1 No Auto-Renewal: We respect your financial autonomy. Monthly and Yearly subscriptions do not renew automatically. Once your term ends, access to paid features will expire unless you manually choose to purchase a new term. 3.2 Lifetime License Definition: For the purposes of this agreement and technical implementation, a “Lifetime License” is defined as a period of 9,999 days of access from the date of activation. 3.3 Feature Access: The developer reserves the right to modify which features are included in the Free vs. Pro tiers at any time.


4. AI, LLM, & API INTEGRATION

4.1 Third-Party API Costs: The Software allows users to pull data/commands from Large Language Models (LLMs) via external APIs (e.g., OpenAI, Google). Users are solely responsible for any costs incurred by these third-party providers. High-frequency requests from the Software to an API may result in significant charges on your personal API billing account. 4.2 Local Execution (Llama 3.2 3B): The Software supports local execution of models like Llama 3.2 3B. While this model is fine-tuned for robotic tasks and can provide better results free of charge, the developer is not responsible for the performance, accuracy, or hardware requirements of running local LLMs. 4.3 Non-Deterministic Output: AI-generated robot paths are non-deterministic. The developer is not responsible for “hallucinated” coordinates or dangerous movements suggested by an AI model.


5. PLUGINS & USER-GENERATED CODE

5.1 Plugin Architecture: Arctos Studio includes a plugin system where users can add their own custom functionality or third-party scripts. 5.2 Third-Party Liability: We do not audit, endorse, or take responsibility for any code written or deployed via the plugin system. If you install a plugin created by another user or write your own, you do so at your own risk. Any hardware damage or data loss caused by a plugin is the sole responsibility of the user.

6. INTELLECTUAL PROPERTY & THIRD-PARTY ASSETS

6.1 Robot Models & STL Files: Arctos Studio includes 3D models and STL files for various industrial robots (e.g., KUKA, Fanuc, ABB, UR). Arctos Robotics does not own the intellectual property, trademarks, or copyrights for these specific robot designs or their digital representations. These files were obtained from public internet sources for simulation and educational visualization purposes.

  • User Responsibility: If you use these models for commercial purposes, you are responsible for ensuring you have the necessary permissions from the original equipment manufacturers (OEMs). 6.2 Proprietary Code: While the 3D assets of third-party robots are not ours, the core simulation engine, the Arctos Studio interface, and the integration logic remain the sole intellectual property of the developer.

7. OPEN SOURCE LIBRARIES & ATTRIBUTION

7.1 Dependency Disclosure: Arctos Studio is built upon and utilizes several powerful open-source libraries. We are not the owners of these libraries, and they are used in accordance with their respective licenses (e.g., BSD, MIT, Apache 2.0). These include, but are not limited to:

  • OpenCV: For computer vision and image processing.
  • YOLO (You Only Look Once): For real-time object detection.
  • PyBullet: For physics simulation and collision detection.
  • NumPy/SciPy: For mathematical computations. 7.2 No Warranty for Libraries: We are not responsible for bugs, security vulnerabilities, or performance issues originating from these third-party open-source dependencies.

8. DATA PRIVACY & USAGE

8.1 Local Processing: As an indie-focused tool, Arctos Studio prioritizes local processing. Your robot programs and local LLM interactions (e.g., Llama 3.2 3B) stay on your machine. 8.2 External APIs: If you choose to use cloud-based AI features, your data will be sent to third-party providers (like OpenAI or Google). We do not control how these providers store or use your data. Please review their respective privacy policies before entering your API keys into the Software.


9. TERMINATION & MODIFICATIONS

9.1 Violation of Terms: We reserve the right to terminate your license (including Lifetime Licenses) if it is discovered that the Software is being used for illegal activities, military weaponization, or reverse-engineering attempts to crack the Pro/Lifetime validation. 9.2 Policy Updates: As an indie project, these terms may be updated to reflect new features (like new AI models or hardware support). Continued use of the Software after an update constitutes acceptance of the new terms.


10. LIMITATION OF LIABILITY (THE “FINAL SHIELD”)

10.1 Total Liability Cap: To the maximum extent permitted by applicable law, the total liability of the developer for any claims arising out of the use of Arctos Studio shall not exceed the amount actually paid by you for the software license in the twelve (12) months preceding the claim. 10.2 Indirect Damages: In no event shall the developer be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data, for business interruption, for personal injury, for loss of privacy) arising out of or in any way related to the use of or inability to use the Software.


11. GOVERNING LAW

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where the developer is based (Bosnia and Herzegovina), without regard to its conflict of law provisions. Any legal action or proceeding related to this Software shall be brought exclusively in the courts located in Zenica.


12. ACCEPTANCE

By clicking “I Agree,” installing, or using Arctos Studio, you acknowledge that you have read these terms, understood the risks associated with robotics simulation, and agree to be bound by them. If you do not agree, do not install the software and delete any downloaded files immediately.

13. PERMITTED USE & LICENSING MODELS

13.1 Personal / Educational License:

  • Scope: For individual hobbyists, students, and educators.
  • Restriction: This license is strictly for non-commercial projects. You may not use the results of the software (e.g., robot paths, simulated data) for-profit services or industrial production.
  • Redistribution: You may not redistribute the software or any of its proprietary components.

13.2 Commercial (Pro) License:

  • Scope: For companies, startups, and independent contractors.
  • Usage: Grants the right to use the Software for commercial robotics development, industrial path planning, and providing for-profit services.
  • Seat Limitation: One (1) license is valid for one (1) user on a maximum of two (2) devices owned by that user (e.g., a desktop and a laptop), provided they are not used simultaneously.

14. RESTRICTED USES (PROHIBITED APPLICATIONS)

14.1 High-Risk Environments: Arctos Studio is not certified for use in “critical systems.” This includes, but is not limited to:

  • Medical or life-support robotics.
  • Operation of heavy machinery in areas with unprotected human presence.
  • Nuclear or hazardous material handling. 14.2 Military & Weaponization: You are strictly prohibited from using Arctos Studio for the design, simulation, or control of weapons, autonomous combat systems, or any military application. Any such use immediately voids your license without a refund and may be reported to relevant authorities. 14.3 Export Controls: You agree to comply with all applicable export laws and regulations. You represent that you are not a citizen of, or located within, an embargoed nation (e.g., North Korea, Iran, Syria) and that you are not otherwise prohibited under law from receiving this software.

15. INDEMNIFICATION

15.1 User Responsibility: You agree to indemnify, defend, and hold harmless the developer of Arctos Studio from any and all third-party claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use or misuse of the software.
  • Any physical damage or injury caused by hardware running code generated by the software.
  • Your violation of any third-party rights (including the IP rights of robot manufacturers).
  • Any plugins or custom code you write or install.

16. MISCELLANEOUS
